Scope of Services

TechGropse provides professional services, which may include:

• Mobile application development (iOS, Android, cross-platform)
• UX/UI design and prototyping
• Software integration and API development
• Maintenance, support, and post-launch updates
• Consulting, project management, and technical advisory

We reserve the right to modify, suspend, or discontinue any of our Services at any time without notice.

Client Responsibilities

Clients agree to:

• Provide accurate, complete, and timely information necessary for project execution
• Designate a primary contact for communications
• Review deliverables on time
• Make payments according to the agreed project milestones
• Comply with applicable laws, regulations, and intellectual property rights

Failure to fulfill client responsibilities may delay project timelines or affect deliverables.

Intellectual Property

• Unless otherwise stated in a signed agreement, all intellectual property (IP) created by TechGropse remains our property.
• Upon full payment and explicit transfer agreement, IP rights for the delivered project may be assigned to the client.
• Review deliverables on time
• Clients are prohibited from copying, distributing, or modifying our IP without written permission.

Payment Terms

• Project fees, timelines, and milestones are agreed in the proposal or contract.
• Payments must be made according to the agreed schedule.
• Late payments may incur interest or suspension of Services.
• All prices exclude applicable taxes unless stated otherwise.

Confidentiality

• Both parties agree to maintain the confidentiality of any proprietary or sensitive information.
• Confidential information does not include publicly available information or data independently obtained from third parties.
• Breaches of confidentiality may result in legal action.

Warranties and Disclaimers

• TechGropse provides Services “as-is” and “as available.”
• We strive for high-quality, functional applications, but do not guarantee that the software will be error-free or meet all client or user expectations.
• We are not responsible for delays caused by third-party dependencies, client-provided content, or unforeseen technical issues.

Limitation of Liability

• To the maximum extent permitted by law, TechGropse shall not be liable for indirect, incidental, or consequential damages arising from the use or inability to use Services.
• Our maximum liability shall not exceed the total fees paid for the specific Services giving rise to the claim.

Termination

• Either party may terminate the engagement with written notice.
• Upon termination:
• All unpaid fees become immediately due
• Client access to Services may be revoked
• Any licensed materials must be returned or deleted

Termination does not affect accrued rights, payment obligations, or liability for breaches.

Data Protection and Privacy

• All personal information collected will be handled according to our Privacy Policy.
• Clients and end-users must ensure that any personal or sensitive data shared is accurate and lawful.
• TechGropse will use technical and organizational measures to protect client and end-user data, but cannot guarantee absolute security.

Client Content

• Clients are responsible for providing content, images, text, and other materials required for project delivery.
• TechGropse is not responsible for verifying content legality, accuracy, or IP rights unless explicitly agreed.
• Any user-generated content within apps developed by TechGropse must comply with applicable laws and regulations.

Third-Party Services

• Applications may integrate third-party services, APIs, or plugins.
• Use of third-party services is subject to the terms and privacy policies of those providers.
• TechGropse is not responsible for issues arising from third-party services or their downtime.

Governing Law and Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of your country/state.
• Any disputes will be resolved through negotiation, and if unresolved, through binding arbitration in accordance with applicable law.

Changes to Terms

TechGropse reserves the right to modify these Terms at any time. Updated Terms will be posted on the Website. Continued use of Services after changes constitutes acceptance of the updated Terms.
